1. Introduction

Welcome to Localii.

These Terms and Conditions ("Terms") govern your access to and use of the Localii website, mobile application, and related services (collectively, the "Platform").

By accessing, browsing, registering for an account, placing an order, or otherwise using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy.

If you do not agree with these Terms, you must not access or use the Platform.

Localii operates as a technology platform that connects customers with local businesses and independent delivery drivers. Localii does not manufacture, prepare, own, store, sell, or deliver products directly unless expressly stated otherwise.

These Terms apply to all users of the Platform, including customers, vendors, merchants, stores, delivery drivers, and visitors.

2. Eligibility

To use the Platform, you must:

Be at least eighteen (18) years of age or the age of majority in your province or territory;
Have the legal capacity to enter into binding agreements;
Provide accurate and complete information when creating an account or placing orders.

By using the Platform, you represent and warrant that you satisfy these requirements.

Localii reserves the right to refuse service, suspend accounts, or terminate access where eligibility requirements are not met.

3. About Localii

Localii is a marketplace platform that enables customers to discover, purchase, and arrange delivery of products from participating local businesses.

Localii:

Facilitates transactions between customers and vendors;
Facilitates payment processing through third-party providers;
Coordinates delivery services through independent delivery drivers;
Provides customer support regarding Platform-related matters.

Localii is not the seller, manufacturer, distributor, retailer, or owner of products listed by vendors unless expressly identified as such.

Localii does not guarantee:

Product availability;
Product quality;
Product accuracy;
Delivery times;
Vendor performance.

All transactions are ultimately between customers and vendors.

4. User Accounts

Certain features require account registration.

When creating an account, you agree to:

Provide accurate and current information;
Maintain and update your information as necessary;
Keep your login credentials secure;
Notify Localii immediately of unauthorized access or security breaches.

You are solely responsible for all activities occurring under your account.

Localii may suspend, restrict, or terminate accounts that:

Violate these Terms;
Engage in fraudulent conduct;
Abuse refund systems;
Provide false information;
Harm the Platform, vendors, drivers, or other users.

5. Orders and Purchases

By placing an order, you authorize Localii and its payment providers to process payment for all applicable charges.

Orders are subject to:

Product availability;
Vendor acceptance;
Successful payment authorization.

A vendor may reject, modify, or cancel an order due to:

Product unavailability;
Pricing errors;
Operational limitations;
Suspected fraud.

Localii reserves the right to cancel any transaction at its discretion where necessary for security, legal, operational, or fraud prevention purposes.

6. Pricing and Fees

Prices displayed on the Platform are determined by vendors.

Prices may differ from those offered in-store.

Customers may be charged:

Product costs;
Delivery fees;
Service fees;
Taxes;
Applicable surcharges.

All fees and charges will be disclosed before checkout.

Localii reserves the right to correct pricing errors at any time.

7. Payments

Payments are securely processed through third-party payment processors, including, but not limited to:

Stripe
Square
Other approved payment providers

By using these services, you agree to their respective terms and policies.

Localii does not store complete payment card information.

Failed, declined, or disputed payments may result in order cancellation or account restrictions.

8. Delivery Services

Delivery services are provided by independent delivery drivers.

Drivers are not employees, agents, partners, or representatives of Localii.

Estimated delivery times are provided for convenience only and are not guaranteed.

Delivery times may be affected by:

Weather conditions;
Traffic;
Vendor preparation delays;
Road closures;
Technical issues;
Other unforeseen circumstances.

Customers are responsible for providing:

Accurate addresses;
Valid contact information;
Reasonable delivery instructions.

Localii is not responsible for failed deliveries resulting from inaccurate information provided by customers.

9. Independent Driver Status

Delivery drivers using the Platform operate as independent contractors.

Drivers are solely responsible for:

Maintaining valid driver's licenses;
Maintaining vehicle insurance;
Vehicle safety and maintenance;
Compliance with applicable laws and regulations.

Nothing in these Terms creates an employment, agency, partnership, or joint venture relationship between Localii and delivery drivers.

10. Vendor Responsibilities

Vendors are solely responsible for:

Product listings;
Product descriptions;
Pricing accuracy;
Inventory availability;
Product quality;
Food safety compliance;
Packaging standards;
Regulatory compliance.

Vendors must comply with all applicable municipal, provincial, and federal laws.

Localii does not inspect, test, verify, or guarantee products sold through the Platform.

11. Restricted and Age-Regulated Products

Certain products may be subject to legal restrictions.

Where applicable, customers may be required to:

Present government-issued identification;
Verify age;
Meet applicable legal requirements.

Localii and vendors reserve the right to refuse delivery of age-restricted products where legal requirements are not satisfied.

12. Cancellations

Customers may request cancellation before a vendor begins preparing or processing an order.

Once preparation, packaging, fulfillment, or dispatch has begun, cancellation may not be possible.

Cancellation eligibility is determined based on:

Vendor status;
Driver assignment;
Order progress.

13. Refund Policy

Refunds may be considered for:

Missing items;
Incorrect items;
Damaged products;
Failed deliveries;
Duplicate charges;
Other legitimate concerns.

Customers must report issues within a reasonable period following delivery.

Supporting documentation such as photographs, receipts, or order information may be required.

Refund decisions will be based on available evidence and order records.

Approved refunds may be issued as the following:

Original payment refunds;
Store credits;
Promotional credits.

Refund processing times may vary depending on payment providers and financial institutions.

14. Fraud Prevention and Chargebacks

Users agree not to engage in fraudulent activity.

Localii reserves the right to:

Investigate suspicious transactions;
Suspend accounts;
Deny future service;
Contest fraudulent chargebacks;
Recover losses resulting from fraud or misuse.

Submitting false claims, false refund requests, or fraudulent payment disputes may result in permanent account termination.

15. Prohibited Conduct

Users must not:

Violate laws or regulations;
Provide false information;
Impersonate another person;
Interfere with Platform operations;
Attempt unauthorized access;
Upload malicious software;
Abuse customer support services;
Manipulate ratings or reviews;
Use the Platform for unlawful purposes.

Localii may investigate and take action against violations without prior notice.

16. Intellectual Property

All content on the Platform, including:

Logos;
Branding;
Designs;
Software;
Graphics;
Text;
Images;
Trademarks;

is owned by Localii or its licensors and protected by applicable intellectual property laws.

Users are granted a limited, non-exclusive, revocable license to access and use the Platform solely for its intended purposes.

No content may be copied, reproduced, distributed, modified, or exploited without written permission.

17. Privacy

Localii collects, uses, stores, and processes personal information in accordance with its Privacy Policy.

By using the Platform, you consent to the collection and processing of information necessary to:

Process orders;
Facilitate deliveries;
Provide customer support;
Improve services;
Prevent fraud;
Comply with legal obligations.

Localii strives to protect user information but cannot guarantee absolute security.

Localii complies with applicable Canadian privacy laws, including the Personal Information Protection and Electronic Documents Act (PIPEDA) and any applicable provincial legislation.

18. Third-Party Services

The Platform may integrate with third-party services, including:

Payment processors;
Mapping services;
Analytics providers;
Communication services;
Marketing platforms.

Localii is not responsible for the availability, security, or performance of third-party services.

19. Disclaimer of Warranties

The Platform is provided on an "as is" and "as available" basis.

To the maximum extent permitted by law, Localii disclaims all warranties, including:

Merchantability;
Fitness for a particular purpose;
Accuracy;
Reliability;
Availability;
Non-infringement.

Localii does not guarantee uninterrupted or error-free operation.

20. Limitation of Liability

To the fullest extent permitted by law, Localii shall not be liable for:

Product quality issues;
Vendor actions;
Driver actions;
Delivery delays;
Lost profits;
Lost data;
Business interruption;
Indirect damages;
Incidental damages;
Consequential damages.

Localii's total liability arising from any claim shall not exceed the amount paid by the customer for the specific order giving rise to the claim.

21. Indemnification

You agree to defend, indemnify, and hold harmless Localii, its affiliates, officers, directors, employees, contractors, and partners from any claims, damages, liabilities, costs, and expenses arising from:

Your use of the Platform;
Your violation of these Terms;
Your violation of applicable laws;
Your infringement of third-party rights.

22. Force Majeure

Localii shall not be liable for delays, failures, or interruptions resulting from events beyond its reasonable control, including:

Natural disasters;
Severe weather;
Floods;
Fires;
Power outages;
Internet disruptions;
Government actions;
Labour disputes;
Public emergencies;
Acts of God.

23. Account Termination

Users may request account deletion at any time.

Localii may retain information where required for:

Legal compliance;
Fraud prevention;
Accounting obligations;
Dispute resolution;
Security purposes.

Localii reserves the right to suspend or terminate accounts at its discretion for violations of these Terms.

24. Changes to These Terms

Localii may update these Terms from time to time.

Updated Terms become effective upon publication on the Platform unless otherwise stated.

Continued use of the Platform after updates constitutes acceptance of the revised Terms.

25. Governing Law

These Terms shall be governed by and interpreted in accordance with:

The laws of the Province of Manitoba; and
The applicable federal laws of Canada.

Any dispute arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Manitoba, Canada.
